Why File a Lawsuit?
When the rights of minority shareholders are not adequately protected, a lawsuit is frequently required to protect the legal rights of those shareholders. A far too frequent problem occurs when the purchasing corporation conspires with the board of directors of the selling corporation to set the share price too low. Typically, the purchasing corporation offers the board of directors some sort of incentive to set the share price too low. Frequently, it is a job with the new business or a hefty severance package. The problem with this type of arrangement is that the shareholders are not fairly compensated for their shares. For that reason it is illegal. The board of directors must act with the best interests of the shareholders in mind. When the board of directors decides to put their own interests ahead of the shareholders. lawsuits are necessary to correct the problem.

One of the biggest hurdles we face in these cases is that each individual shareholder doesn't expect to gain that much. Each individually shareholder might only gain a few hundred or few thousand dollars. When taken as a whole, the shareholders might stand to lose several million dollars. A class action lawsuit requires a class representative. That class representative must be a shareholder.
